Step 1: Register Your Business Name 

To set up an LLC in Maryland you need to reserve your business name.  This way during the process no one can steal the name of your company. 

There is no online reservation so you’ll need to apply by mail. Get this name reservation form and/or go to the Maryland Business Express: Select a Business Name to download and fill it out. Send it to the Maryland Department of Assessment and Taxation. 

Don’t forget to include a check of $25 as your filing fee to reserve the name. 

Step 2: File Your Articles of Organization in Maryland

You can do walk-in processing with a filing fee of $100, and approval on the same day. You just need to come at the earliest time possible.

Step 3: Complete Your Maryland LLC Operating Agreement 

 

An operating agreement is a key document used by LLCs and partnerships. It outlines the business’ financial and functional decisions including rules, regulations, and provisions. You are not required to file an Operating Agreement with your state. But it may be vital to have it, especially if there are multiple members of your LLC.   

Step 4: Get Your Federal Tax ID Number (EIN) 

 

Once your LLC has been approved it’s time to get your Federal Tax ID Number from the IRS.   

Your EIN is the social security number of your business.  Keep it well protected.  You’ll use this number to open bank accounts, file tax documents, apply for loans, and many other uses.  It also protects your social security number when doing business with other businesses like merchant accounts, 1099s received, etc. 

To apply for your EIN you can go to IRS EIN/Tax ID Application.  Make sure you pick the correct Business Entity Type.

You can only file online if you have a Social Security Number (SSN) or Taxpayer ID (ITIN).  Otherwise, you’ll have to mail in the forms and wait for the response. If you don’t have an SSN, on Form SS-4, where it asks for your SSN, ITIN, or EIN (line 7b), write “Foreign”. Your EIN application will then be approved without the need for having an SSN. 

Taxes, Permits, and Licensing in Maryland 

 

To do business in Maryland you will need to file tax returns, and hold permits and licenses in your county or city.  

Your Maryland LLC is required to file and pay an annual report and business personal property tax (if applicable).  

To file online go to Maryland Business Express: Registrations and Filings or download and fill out Form 1- Annual Report and Business Personal Property Tax and sent it by mail to the Maryland Department of Assessment and Taxation. 

The annual report fee is $300 both online and by mail.

When you set up an LLC in Kansas you’ll need a few things before you get started.  This section will help you get your checklist in order.

A Unique Business Name

The nice part of using a company is that their address is used instead of yours. As the business address will be public knowledge. By using a registered agent, you can protect and secure your own address.  

Step 1: Register Your Business Name 

To Set up an LLC in Kansas you need to reserve your business name.  This way during the process no one can steal the name of your company. 

You’ll need to reserve your name at the Kansas Business Filing Center: Name Reservation or by mail. This is optional and your reservation is only for up to 120 days. The fee for reserving your business name online is $30.00 and $35 by mail. 

Step 2: File Your Articles of Organization in Kansas 

Setting up an LLC in Kansas is easy, especially for single-member LLCs. Just go directly to Kansas: Business Services Forms – File Online.  You get immediate approval when filing online.  

You can just directly file the Articles of Organization even without a reservation.  Easy peasy.  

If you don’t want to file online, you can download and fill out Form DL51-09, LLC Articles of Organization. It takes 3 to 5 business days to get approval back.  

Fees: In Kansas, the cost of setting up your LLC and filing the Articles of Organization is $160.00 online and $165 by mail.  

Step 3: Complete Your Kansas LLC Operating Agreement 

 

An operating agreement is a key document used by LLCs and partnerships. It outlines the business’ financial and functional decisions including rules, regulations, and provisions. Hot Tip

You are not required to file an Operating Agreement with your state. But it may be vital to have it, especially if there are multiple members of your LLC.   

Step 4: Get Your Federal Tax ID Number (EIN) 

 

Once your LLC has been approved it’s time to get your Federal Tax ID Number from the IRS.   

Your EIN is the social security number of your business.  Keep it well protected.  You’ll use this number to open bank accounts, file tax documents, apply for loans and many other uses.  It also protects your social security number when doing business with other businesses like merchant accounts, 1099s received etc. 

To apply for your EIN you can go to IRS EIN/Tax ID Application.  Make sure you pick the correct Business Entity Type.   

Just a Note

You can only file online if you have a Social Security Number (SSN) or Taxpayer ID (ITIN).  Otherwise, you’ll have to mail in the forms and wait for the response. If you don’t have an SSN, on Form SS-4, where it asks for your SSN, ITIN, or EIN (line 7b), write “Foreign”. Your EIN application will then be approved without the need for having an SSN. 

Taxes, Permits, and Licensing in Kansas

 

To do business in Kansas you will need to file tax returns, and hold permits and licenses in your county or city. 

 Your Kansas LLC is required to file an annual report. To file online go to Kansas: Business Services Forms – File Online or download and fill out Form LC-50: Annual Report and sent it by mail. 

The report fees are $50 online and $55 by mail. Failure to pay within 90 days following the due date will forfeit your LLC business.  

Kansas LLC must apply for necessary business licenses and or permits.  This depends a lot on the type of business and the location of your business.  

Aside from business licenses and permits, all LLCs must also pay appropriate taxes and meet obligations with the Kansas Department of Revenue.

The Iowa Secretary of State does not provide the downloadable form. You will have to draft your own Certificate of Organization or have a lawyer do it for you. After you have it, scan and upload it if you file online or just directly send it by mail.   

Fees: In Iowa, the cost of setting up your LLC and filing the Certificate of Organization is $50.00 both online and by mail. It takes 7 to 14 business days to get an approval back for mail filing. While it only takes 1 business day for online filing. 

Step 3: Complete Your Iowa LLC Operating Agreement

Your Iowa LLC is required to file a biennial report even if you have no business activity or no ($0) revenues. The biennial report fee is $45 for filing online and $60 by mail 

File your biennial report online at the Iowa Secretary of State: Fast Track Filing or download and print out a pre-filled form on the same site then send it by mail. 

Aside from business licenses and permits, all LLCs must also pay appropriate taxes and meet obligations with the Iowa Department of Revenue. 

Just a Note

Filing after April 1st is considered late and will make your LLC into delinquent status. If not filed after August 1st, your LLC will be administratively dissolved by the state.
